At the Tesla Institute of MRI Technology, Inc., along with our affiliated entities (“Tesla MRI”, “Tesla Institute”, “we,” “us”), we are proud to offer a range of educational services. This includes, but is not limited to, online classes, seminars, collaboration spaces, and an array of digital tools and platforms. These services are designed to enrich learning, facilitate teaching, foster development, and enhance connectivity within our vibrant community (hereinafter referred to as the “Service”).

By engaging with our Service in any way—whether that's visiting, viewing, attending, using, or accessing it, including our main website at https://www.teslamrinstitute.org/ and any other online services, content, or functionalities we provide—you're agreeing to abide by these Terms.

If you're interested in our programs and are accepted, you can sign up to participate through the Service. However, please be aware that we cannot guarantee admission to any specific program or the continuous availability of any program content. Scheduling, rescheduling, and cancellation policies are determined and applied at our discretion.

Please note that Tesla MRI reserves the right to modify, pause, or expand any aspect of the Service—including its features, delivery methods, and access eligibility—without prior notice or liability. For instance, accessing our Service may be contingent on maintaining good standing or adhering to these Terms and any agreements you have with us.

By utilizing or accessing the Service, you are confirming that (a) you have fully read and understood these Terms; (b) you are at least 18 years old and have the capacity to agree to these Terms, or, if you are under 18, that you have obtained your parent's or guardian's permission to use the Services; and (c) you accept and are legally bound by these Terms. Your ongoing use of the Service is contingent upon your continued compliance with these Terms and any other agreements.

Additionally, our Privacy Policy, and other Tesla MRI policies are incorporated by reference into these Terms.

Please be advised that the Service is not intended for individuals under the age of 13.

Updates to Terms.

We hold the right to revise, refresh, or alter these Terms at any given moment. We'll inform you of any changes by updating the Terms on our website. Whenever you use the Service, it will be under the most recent version of these Terms. If you continue to use the Service following any modifications to the Terms, it will mean you have accepted those changes.

Cancellation/Withdrawal.

At Tesla MRI, we are committed to your success and fully support your journey with us. However, we recognize that circumstances may arise where you need to withdraw from Tesla MRI or discontinue using the Service. In certain situations, you might be responsible for covering a portion of your tuition as per the agreements you've entered into with us.

It's important to note that these Terms do not exempt you from any obligations under such agreements, including any outstanding tuition fees. Should you significantly violate these Terms, we may conclude that you are not maintaining a satisfactory status as a student.

Third-Party Services.

Our Service may provide links to or enable access to third-party tools, websites, systems, or applications, including messaging platforms, content systems, or webinar software like email, Zoom, and phone services. We leverage these third-party offerings to enhance our communication with you and to deliver our Service more effectively.

It's possible for some of these external services to utilize Tesla MRI Content under a license agreement with us. Additionally, navigating through these links may lead you away from our Service.

Please be aware that Tesla MRI does not bear responsibility for activities or content beyond our own channels and systems. This includes not endorsing or assuming liability for third-party services, regardless of our possible affiliations. Should you engage with any third-party service or site, you do so at your own risk. We strongly advise you to familiarize yourself with the privacy policies and terms of use of any third-party platforms you visit or utilize.

Featuring an instructor or program.

While we may showcase, promote, or suggest certain programs or instructors, this does not guarantee that they will be your specific instructor, nor does it affirm the quality of their teaching or the outcomes you might achieve from their courses or through our Service in general. Learning preferences and speeds vary from person to person. Ultimately, it falls upon you, the learner, to actively engage in your educational journey, making the most of the resources and support Tesla MRI offers.

Program Fees.

The fees for our services, including tuition, available payment methods, and options for deferred tuition or other charges, may change periodically and could differ by region, at our discretion. We cannot guarantee the availability of any specific pricing structure, and additional terms may apply depending on your chosen program or any individual agreements in place. For detailed information, please refer to the terms outlined in your Enrollment Agreement or other relevant agreements related to your program.

Payment Agreement.

By engaging with our Service, you acknowledge your commitment to fulfill payment for any services or programs you enroll in, as may be detailed, for instance, in an Enrollment Agreement. Your ongoing use of our Service reaffirms your agreement to meet these financial obligations, as specified in any related contracts, documents, or notifications. Be aware that payment methods, availability, and policies concerning refunds or adjustments may differ based on your location or regulatory requirements and are subject to change. Should any issues arise regarding your payments to Tesla MRI, you agree to address these concerns promptly through the designated dispute resolution channels.

Your Account.

For access to certain parts of the Service, creating an account might be necessary. You commit to supplying accurate, truthful, and up-to-date information for your account and to promptly update this information should it change. It's important to understand that furnishing false information breaches not only these terms but also any other agreements you might have with Tesla MRI.

Communication Consent and Electronic Notices.

By providing us with your email, phone number, or any other contact details in accordance with our policies, you consent to receive communications from Tesla MRI or on our behalf. Furthermore, you acknowledge that any terms, agreements, notices, disclosures, and other forms of communication we send to you electronically will meet the legal standards required as if those communications were in written form.

Content, Licensing, and Ownership.

Our Service encompasses a broad range of materials, including but not limited to, educational curriculum, teaching methodologies, informational data, designs, texts, graphics, images, videos, logos, software, audio files, computer code, and other creative works (“Content”).

We may utilize artificial intelligence software to develop certain aspects of our tools and educational offerings, ensuring each is rigorously tested and/or verified by human oversight. However, the core of Tesla MRI’s curriculum is crafted solely by human expertise.

Ownership of all Content, including how it's selected, organized, compiled, and arranged, resides with Tesla MRI or its licensors, safeguarded by copyright, trademark, and other applicable laws.

No implicit licenses are conferred through these Terms.

License to You.

Under these Terms, we grant you the right to access and utilize the Service and its Content strictly for your personal and non-commercial use, at our sole discretion. Any other form of use is directly prohibited.

You may not copy, reproduce, republish, upload, post, transmit, or distribute any material from the Service without explicit written permission from the copyright holder, unless specified otherwise for certain Content within the Service. In such cases, you are permitted to download a single copy of said Content for personal use only. Should you discontinue using the Service or if your access is terminated, you are obliged to return any Tesla MRI property in your possession.

Be aware that some Content available for download may come with its own set of license terms and conditions, which will be specified for such Content. By downloading or using this Content, you agree to adhere to these specified terms and conditions.

Unauthorized exploitation of the Content infringes upon copyright, trademark laws, and relevant communication statutes, and is absolutely forbidden. Altering any Content obtained from the Service for any other purpose, especially commercial, breaches Tesla MRI's or its licensors' copyright and proprietary rights unless you have acquired specific written consent. It's essential to maintain all copyright, trademarks, service marks, and proprietary notices intact.

Tesla MRI reserves the right to revoke this license at any time, without prior notice, for any reason.

Trademarks.

"Tesla Institute of MRI Technology, Inc." along with other related marks are registered trademarks of Tesla MRI. All rights related to these trademarks are expressly reserved by Tesla MRI.

User Content.

The Service may enable you to create, draft, post, or share content ("User Content"). The intellectual property rights of any User Content you provide belong to you or a third-party licensor, as applicable. It is your responsibility to safeguard these rights.

Please be aware that the Service is used by a diverse group of users, and while some content may be more private than others, we cannot guarantee the confidentiality of any User Content shared through the Service.

Except for personal information, when you create, post, or share User Content on or via the Service, you grant Tesla MRI a perpetual, transferable, global, non-exclusive, royalty-free license to use, alter, delete, publish, broadcast, or display your User Content for any purpose, including promotional activities, in accordance with our Privacy Policy, without any compensation to you. This includes waiving any rights to object to how your User Content may be changed or used. We reserve the right, at our discretion, to decline, post, display, or transmit any User Content.

Ownership of External Content.

By using the Service, you acknowledge and agree that you will not gain any form of ownership, including any intellectual property rights, in content that is made available through the Service by other users or licensors of Tesla MRI.

The Service hosts a variety of content from different sources, including but not limited to user-generated content and materials provided by Tesla MRI's licensors. Unless explicitly allowed by these Terms, it is prohibited to copy, alter, translate, publish, broadcast, distribute, perform, display, or sell any content accessed through the Service.

Content Posting Rights.

When you post content on the Service, you affirm and guarantee that: (i) you either own the content or possess the necessary rights to post it; (ii) your posting and use of the content via the Service does not infringe on any privacy, publicity, copyright, contractual, intellectual property, or other rights of any individual or entity; and (iii) sharing your content on the Service will not lead to a contractual conflict or breach with a third party.

Copyright Policy.

In accordance with the Digital Millennium Copyright Act of 1998 (DMCA), there's a process for copyright owners to address concerns if they believe their rights have been infringed online. If you suspect that content on the Service infringes upon your copyright, you or your representative can send Tesla MRI a "Notification of Claimed Infringement" to request the removal of the infringing material or to block access to it. Your notification must include:

* A physical or electronic signature of a person authorized to act on behalf of the copyright owner.

* Identification of the copyrighted work claimed to have been infringed, or, if multiple works are involved, a representative list of those works.

* Detailed information about the infringing material to help us locate it on the Service.

* Your contact details, including name, address, telephone number, and email address (if available).

* A statement of belief in good faith that the disputed use is not authorized by the copyright owner, its agent, or the law.

* A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

Suggestions and Submissions.

Your feedback is invaluable to us, and we enthusiastically welcome your thoughts on our Service and programs. However, it's important to understand the following guidelines regarding any suggestions, comments, ideas, improvements, inventions, or other materials you may share with us ("User Suggestions"):

* We will exclusively own all rights, known now or discovered later, to the User Suggestions.

* We are not bound by any confidentiality obligations regarding the User Suggestions and will not be liable for their use or disclosure.

* We have the freedom to use the User Suggestions for any purpose, commercial or otherwise, without owing compensation to you or anyone else.

Consequences for Terms Violation.

Tesla MRI reserves the right to suspend your access, terminate your account, withdraw your participation, and block your future access to the Service for any reason deemed appropriate, in accordance with these Terms and any other agreements in effect between you and us.

Should you be withdrawn from the Service, our tuition policy will determine any financial obligations based on the timing of your withdrawal and the extent of services utilized. You are required to settle any charges for services rendered, as per our agreements, such as the Enrollment Agreement. Be aware, certain circumstances of withdrawal may render you ineligible for future re-admission.

Tesla MRI retains the authority to remove any User Content at our discretion, especially content that breaches these Terms, our Code of Conduct, or applicable laws; content that is harmful, disruptive, offensive, or illegal; or content that infringes on the rights, safety, or well-being of others within the Tesla MRI community. While we are not obligated to monitor User Content, we will act upon any violations brought to our notice, which may include further investigation and possible removal from our community for breaching our standards and policies.

Disclaimer of Warranties.

You fully acknowledge and accept that:

(A) Your engagement with the Service is entirely at your own risk. The Service is made available "as is" and "as available." To the fullest extent allowed by law, Tesla Institute of MRI Technology Inc., along with its affiliates, officers, directors, managers, owners, members, employees, instructors, agents, subsidiaries, service providers, partners, and licensors (collectively, the "Released Parties"), explicitly disclaims all warranties and conditions, be they express or implied. This includes warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except where such disclaimers are legally impermissible.

(B) The Released Parties do not guarantee that:

(i) the Service will align with your specific needs;

(ii) your use of the Service will be uninterrupted, timely, secure, or free from errors;

(iii) the outcomes obtained from using the Service will be accurate, reliable, or to your satisfaction;

(iv) the quality of any products, services, information, or other materials purchased or obtained by you through the Service will meet your expectations; or

(v) any errors in the Service will be corrected.

(C) Any content that you download or otherwise obtain through the Service is done at your own discretion and risk. You will be solely responsible for any damage to your computer system or mobile device, or for any data loss that results from downloading or using any such material.

No advice or information, whether oral or written, obtained from Tesla MRI or through the Service, creates any warranty not expressly stated in this Terms of Use agreement.

Limitation of Liability.

You clearly understand and agree that, to the maximum extent allowed by law, the Released Parties will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages of any kind, regardless of whether they were foreseeable or unforeseeable. This includes, but is not limited to, loss of profits, goodwill, use, data, or other intangible losses, even if the Released Parties have been advised of the possibility of such damages, which may arise from or relate to:

(i) These Terms of Service;

(ii) The use or inability to use the Service;

(iii) The costs incurred while procuring substitute goods and services resulting from any transactions made through the Service;

(iv) Unauthorized access to or alteration of your transmissions or data;

(v) The actions or statements of any third party on the Service;

(vi) Your reliance on content provided by us or available through the Service; or

(vii) Any other matter relating to the Service.

Under no circumstance will our total liability, for any reason related to the Service or your use of the Service or materials, exceed the total payments you have made to us, regardless of the legal theory under which such liability is asserted (contract, tort, breach of warranty, strict liability, negligence, or other legal or equitable theory).

Please note, some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Therefore, some or all the above limitations may not apply to you, and you might have additional rights. In such cases, the liability of the Released Parties will be limited to the greatest extent permitted by applicable law.

Indemnification.

By using the Services, you commit to defend, indemnify, and absolve the Released Parties of any responsibility for all claims, liabilities, actions, costs, or demands, including, but not limited to, reasonable legal fees that arise from or are related to your use of the Services. This obligation to protect and hold harmless the Released Parties remains in effect even after you have ceased using the Services.

Arbitration.

To resolve any disputes stemming from these Terms, the use of the Service, any agreements you hold with us, your Tesla MRI tuition, or payments to Tesla MRI, arbitration will serve as the sole method for initiating adversarial proceedings. This excludes any actions for injunctions, restraining orders, other equitable remedies, or proceedings initiated in small claims court. For such arbitration, we utilize the services of National Arbitration and Mediation (NAM), adhering to its Comprehensive Dispute Resolution Rules and Procedures, which you can review at https://www.namadr.com/resources/rules-fees-forms/. In the event that NAM is unavailable and no alternative can be mutually agreed upon by you and Tesla MRI, either party may petition a court to appoint a substitute arbitrator. This arbitration agreement prioritizes these specific arbitration rules in the case of any procedural disputes. Any arbitration award may be confirmed and enforced by any court possessing jurisdiction over the matter. Governed by the Federal Arbitration Act (FAA), this agreement stipulates that all arbitrations must be presided over by a single arbitrator. For claims equal to or less than $25,000, the arbitration can proceed either entirely on document submissions or via a non-appearance-based hearing, such as telephone or video conference, at your discretion.

Class Waiver and Waiver of Jury Trial.

Both you and Tesla MRI agree that any claims between us must be brought on an individual basis only. Neither you nor Tesla MRI can participate as a plaintiff or class member in any class or representative action or proceeding. Claims involving more than one person cannot be combined in the same arbitration unless they stem from the same transaction. By this agreement, both you and Tesla MRI relinquish any right to a jury trial in any legal proceedings arising from this agreement, your involvement with Tesla MRI, or any payments made to or by Tesla MRI.

Applicable Laws and Jurisdiction.

You acknowledge that any disputes, claims, or causes of action related to or partly arising from your use of the Website will be settled on an individual basis, excluding any class action suits, and will be exclusively subject to the jurisdiction of a competent court located in Delaware. This stipulation does not override any rights you may possess to lodge a complaint with your state’s education regulatory agency, based on where you reside.

Furthermore, the interpretation, validity, construction, and enforceability of these Terms, along with your rights and obligations and those of Tesla MRI, will be governed and construed in accordance with Delaware laws. This is done without applying any principles of conflicts of law that might require the adherence to the laws of any other jurisdiction, ensuring that Delaware law prevails.

User Content Guidelines and Restrictions.

By using our Service, you agree to follow the Terms set forth as well as our community norms and policies, which are detailed in our Student Handbook. You commit to using the Service for its intended purposes, adhering to all relevant laws concerning privacy, data protection, intellectual property, and others.

You bear full responsibility for your content and actions within the Service. We do not vouch for the truthfulness, accuracy, or reliability of content posted by users, known as User Content. Any reliance on materials from other users or third-party providers is done at your own risk, acknowledging the potential exposure to objectionable or inappropriate content.

Your User Content could subject you to liability if it is false, misleading, defamatory, infringes on third-party rights, or is unlawful or encourages the violation of laws.

All Content within the Service, owned or licensed by Tesla MRI, is protected by copyright and trademark laws. Unauthorized use of Tesla MRI Content could lead to legal violations. You are allowed to view, download, or print Content solely for personal, educational, and non-commercial use. Altering, publicly displaying, distributing, or using the Content for public or commercial purposes without permission is prohibited.

Additionally, you agree not to:

* Engage in illegal or inappropriate use of the Service or its website, or any action that could harm, disable, or overload the Service.

* Misuse, disclose, or pirate any property or violate privacy rights.

* Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service, accounts, or its supporting technology.

General Terms.

The omission by Tesla MRI to act upon or enforce any right or provision of these Terms does not waive that right or provision.

Should any provision be deemed invalid or unenforceable by a court with the proper authority, both parties agree that the court should interpret the intent of the provision as closely as possible. All other sections of these Terms will continue to be valid and enforceable.
